Discuss and consider action to amend the Pflugerville Community Development Corporation Articles of Incorporation.
Summary
The proposed amendments to the Articles of Incorporation have been made by City staff and City Attorney and forwarded to the PCDC Attorney for further recommendations. Review by the board is requested for further input and recommendation to the City Council. Current changes are proposed to align with state law, including updating the definition of quorum, the composition of the board, and renaming the document from Articles of Incorporation to Certificate of Formation. If the amendments are approved by the City on March 26, it will be filed with the Secretary of State’s office by the City. Following these actions, the PCDC Bylaws and PCDC financial policies, which can be amended by City Council without filing with the State, will provide ongoing support for any further governance needed by the corporation.
