Title
Discuss and consider action to amend the Pflugerville Community Development Corporation Bylaws.
Summary
The PCDC administrative and support services contract with the City of Pflugerville is being amended by the City and PCDC to include finance services. As part of the transition, certain changes in the Bylaws are necessary to provide authority to the City of Pflugerville for purposes of providing the services. The proposed changes have been reviewed by the PCDC Attorney and recommendations have been sent to the City and incorporated in the final redline.
The proposed amendments to the Bylaws make several changes for clarity and definition, but the majority are regarding the previous PCDC financial obligations that will be unnecessary with the financial services provided in the PCDC-City Services Agreement. The bylaws no longer require the president or any officer to sign or authorize checks and remove the need for bonding board officers. Also, it is proposed that the officer of the Treasurer be removed as it is not required under state law, and checks will be remitted by the City upon authorization of the Board and the Executive Director. In addition, section 7.03 has been updated to reflect the current practice of the Executive Director presenting quarterly reports to the City Council. Following action by the PCDC Board, the bylaws will be forwarded to the City Council for final approval. The City/PCDC staff will be available for questions during the meeting.
Prior City Council Action
The PCDC adopted amended bylaws on August 26, 2016, and the City Council adopted the amended bylaws by action on January 10, 2017. The City Council adopted additional revised bylaws by action on November 24, 2020, and on May 23, 2023 further revised bylaws by resolution.
