Discuss and consider action to approve a resolution amending the Pflugerville Community Development Corporation Bylaws.
Summary
On March 20,2024, the PCDC Board reviewed the proposed changes to the bylaws. With a few additional changes, the Board voted unanimously to recommended City Council approval. The majority of the proposed amendments are necessary to align with the amended services agreement for the City to provide full financial services, but other changes have been proposed as part of a general update. Some of these changes include removal of the bonding requirement for the Board, removing redundant language about presiding officers, and providing consistent language throughout.
Changes related to alignment with the services agreement include removing the Treasurer position and the requirement for the Treasurer to sign all checks. As the treasurer position is not required by state law, and checks will be remitted through the City’s accounts payable process following authorization by the Board or the Executive Director, this position will no longer be necessary with the approval of the City Services Agreement. Updates have also been made to the sections related to the Investment Policy and the Annual Audit to further clarify and align with City practices.
